XPayr ("Platform") is a smart contract-based platform that provides payment collection services using cryptocurrencies (ETH, BNB, USDC, USDT). This User Agreement ("Agreement") sets forth the rules and conditions governing your use of the Platform. By using or registering on the Platform, you agree to this Agreement and all related policies.
1. Scope of Services
1.1. Service Description: XPayr enables users to create products or services and receive cryptocurrency payments via payment links, QR codes, or API integrations.
1.2. Smart Contracts: Payments are processed entirely through blockchain-based smart contracts. The Platform does not store, control, or act as a custodian of user funds.
1.3. Fees: The Platform automatically collects commission fees for each transaction through smart contracts. Commission rates and distribution details are published on the Platform’s website.
1.4. Blockchain Networks: The Platform operates on blockchain networks such as Base and Binance Smart Chain (BSC). Gas fees are subject to the conditions of the respective blockchain network and are not covered by the Platform.
2. Usage Restrictions
2.1. Geographic Restrictions: The Platform may not be used by citizens, residents, or entities of the following countries or regions:
United States of America (USA)
European Union (EU) countries
Japan, Singapore, Turkey, North Korea, Iran, Syria, Sudan, Cuba, or other countries subject to international sanctions.
The Platform complies with the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC) and other international sanctions lists. Transactions with sanctioned individuals or entities are prohibited.
2.2. IP Blocking: The Platform implements technical measures to block IP addresses from these regions. Attempting to bypass these restrictions using VPNs, proxies, or other methods is prohibited and may result in account suspension.
2.3. Age Restriction: You must be at least 18 years old to use the Platform.
2.4. Prohibited Activities: The Platform may not be used for illegal activities, fraud, money laundering, terrorist financing, or other unlawful purposes.
3. KYC/AML Policy
3.1. Identity Verification: The Platform implements Know Your Customer (KYC) and Anti-Money Laundering (AML) procedures to prevent money laundering and terrorist financing. Users must provide a valid identification document (e.g., passport, driver’s license) during registration.
3.2. Suspicious Transactions: The Platform reserves the right to manually review suspicious transactions and suspend or terminate user accounts as necessary.

4. User Responsibilities

4.3. Account Security: You are responsible for securing your account. The Platform is not liable for the loss of passwords or private keys.
4.4. Accurate Information: You guarantee that all information provided to the Platform is accurate, complete, and up-to-date.
5. Limitation of Liability
5.1. Smart Contract Errors: The Platform is designed to ensure the proper functioning of smart contracts. 6. Termination of Agreement

7. Intellectual Property
7.1. All content, designs, logos, and software of the Platform are owned by XPayr and protected by copyright, trademark, or other intellectual property laws.
7.2. Users may not copy, distribute, or use the Platform’s content for commercial purposes without permission.
8. Amendments
8.1. The Platform reserves the right to update this Agreement at any time. Updates will be published on the Platform’s website and take effect upon publication.

10. Governing Law and Dispute Resolution

14. Right to Refuse Service

15. Force Majeure
15.1. The Platform is not liable for failure to provide services due to natural disasters, cyberattacks, blockchain network disruptions, government regulations, or other events beyond its control.
